Anti-Corruption Agreement

This agreement applies to any individual, customer, supplier, or partner (hereinafter referred to as “the Other Party”) who accesses this website, uses this service, or establishes a business relationship through this website. This website’s business covers Asia, Europe, Africa, North America, South America, and Oceania.

  1. Commitment

This website is committed to adhering to the highest standards of integrity and ethics in all business activities. It firmly opposes any form of corruption, bribery, extortion, fraud, and conflict of interest. The Other Party also commits to complying with this anti-corruption agreement when conducting any form of business dealings with this website.

  1. Prohibited Conduct

The Other Party shall not, directly or indirectly, offer, promise, authorize, or give any items of value (including but not limited to cash, gifts, hospitality, travel, donations, job opportunities, consulting contracts, etc.) to any public official, government employee, international organization official, political candidate, business partner, customer, or any other individual in order to improperly influence their conduct, obtain commercial benefits, or gain an unfair advantage.

Specific prohibited behaviors include, but are not limited to:

  • Paying “facilitation fees” to expedite routine government actions;
  • Offering or receiving kickbacks of any kind;
  • Using one’s position to seek improper benefits for oneself or related parties;
  • Bribing third parties or establishing off-the-books accounts or falsifying records;
  • Funding political parties, political candidates, or charities in exchange for business benefits.
  1. Gifts and Hospitality

Provided that they comply with business etiquette, are of reasonable value, and are transparent, the parties may occasionally exchange gifts of moderate value and ordinary working meals. The following behaviors are strictly prohibited:

  • Extravagant hospitality for the purpose of acquiring or maintaining business;
  • Providing cash or cash equivalents;
  • Frequent gifts that exceed the scope of normal business dealings.

Reference standards for reasonableness: The value of a single gift shall not exceed RMB 300 (or equivalent local currency); the average cost of a single hospitality shall not exceed RMB 500 per person; the annual total shall not exceed RMB 2,000. Anything exceeding this requires written approval from the compliance department.

  1. Books and Records

All transactions must be truthfully and accurately recorded in the books and records of this website. The establishment of off-book accounts, the use of false invoices, or other means of concealing the true nature of payments are strictly prohibited.

  1. Reporting Obligation

If the other party becomes aware of any violation of this agreement, they should immediately report it through the reporting channels published on this website. This website protects bona fide whistleblowers and prohibits any form of retaliation.

  1. Due Diligence

This website has the right to conduct anti-corruption due diligence on the other party, who should provide necessary information and documents. If the other party refuses to cooperate or discovers significant risks, this website has the right to refuse or terminate cooperation.

  1. Consequences of Violation

If the other party violates this agreement, this website has the right to:

· Immediately terminate all or part of the business relationship;

· Demand compensation for all direct losses (including attorney fees, investigation fees, etc.);

· Transfer the suspected illegal activities to the judicial authorities.

  1. Governing Law and Dispute Resolution

8.1 This agreement is governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China. 8.2 If the other party has a local affiliate or agent in its country or region and a local agreement has been signed, the local agreement shall prevail.

8.2 Any dispute arising out of this Agreement shall be submitted to arbitration by an arbitration institution and place of arbitration as specified in the written agreement between the parties. If not specified, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) in accordance with its then-effective arbitration rules, with the place of arbitration being Hong Kong.
